1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and MdFetch (“we,” “us,” or “our”) governing your access to and use of the MdFetch service, including our website at mdfetch.ai and our API.

By accessing or using our service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the service.

You must be at least 18 years old to use our service. By using the service, you represent and warrant that you are at least 18 years of age.

2. Service Description

MdFetch provides a service that converts web pages into clean, AI-ready Markdown format through:

• HTTP API for programmatic access
• MCP (Model Context Protocol) server for AI coding assistants
• Web dashboard for account management
• Documentation and integration guides

The service is provided on an “as is” basis without uptime guarantees or service level agreements (SLAs) unless explicitly agreed to in a separate enterprise agreement.

3. Account Registration

3.1 Account Creation

To use certain features of the service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Restrictions

• You may only create one account per person or legal entity
• You may not transfer or sell your account to another party
• You may not share your API keys or account credentials
• You may not create accounts for fraudulent or abusive purposes

4. API Usage Terms

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the MdFetch API solely for your internal business purposes.

4.2 Rate Limits

Your API usage is subject to rate limits as displayed in your dashboard. Rate limits are determined by your account tier and current usage. Exceeding rate limits may result in request throttling or temporary suspension.

4.3 Prohibited Activities

You agree NOT to:

• Circumvent or attempt to circumvent rate limits, security measures, or access controls
• Resell or redistribute the service without adding substantial value
• Use the service to fetch content from websites that prohibit scraping or automated access
• Fetch illegal, harmful, abusive, or infringing content
• Reverse engineer, decompile, or disassemble any part of the service
• Use the service in any way that could damage, disable, or impair our infrastructure
• Attempt to gain unauthorized access to our systems or other users’ accounts
• Use the service for any illegal purpose or in violation of any laws

5. Pricing and Payment

5.1 Pricing Model

MdFetch operates on a pay-per-use pricing model:

• Pay-per-request: $0.0005 per API request
• Free tier: 100 requests for testing and evaluation
• Prepaid credits: Purchase credit packs in advance
• Credits never expire: Unused credits remain in your account indefinitely

5.2 Payment Terms

• Payment is processed through Stripe, our third-party payment processor
• You authorize us to charge your payment method for all fees incurred
• All fees are in U.S. Dollars (USD) and are non-refundable except as stated in Section 5.4
• We reserve the right to change our pricing with 30 days’ advance notice

5.3 Billing

Credits are deducted from your account as you make API requests. If your credit balance reaches zero, API requests will be rejected until you add more credits.

5.4 Refunds

• Used credits are non-refundable
• Unused prepaid credits may be refunded upon request within 30 days of purchase
• In case of service failures or errors caused by us, affected requests will be credited back to your account

6. Service Availability

We strive to provide reliable service, but we do not guarantee any specific uptime or availability. The service is provided “as is” without warranties regarding:

• Uninterrupted or error-free operation
• Specific response times or performance metrics
• Availability of any particular feature or functionality

We reserve the right to:

• Perform scheduled maintenance with reasonable advance notice
• Modify or discontinue features with 30 days’ notice
• Temporarily suspend the service for emergency maintenance

7. Intellectual Property

7.1 Our IP

MdFetch and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

7.2 Your Content

We do not claim any ownership rights in the content you fetch or create using our service. You retain all rights to your content and are solely responsible for:

• Ensuring you have the right to fetch and use the content
• Complying with copyright, trademark, and other intellectual property laws
• Respecting the terms of service of websites you fetch content from

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

8. User Content and Conduct

You are responsible for your use of the service and agree to:

• Comply with all applicable laws and regulations
• Respect the robots.txt files and terms of service of websites you fetch
• Not use the service for any illegal, harmful, or abusive purposes
• Not interfere with or disrupt the service or servers
• Not violate the rights of others, including privacy and intellectual property rights

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior, without notice or refund.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

By using the service, you consent to our collection and use of your information as described in the Privacy Policy.

10. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected or that our servers are free of viruses or harmful components

You use the service at your own risk. We do not warrant that the content fetched through our service will be accurate, complete, or legally obtained.

11. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11.2 Excluded Damages

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits, revenue, or business opportunities
• Loss of data or content
• Business interruption
• Loss of goodwill or reputation
• Cost of substitute services

These limitations apply even if we have been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.

11.3 Exceptions

These limitations do not apply to liability that cannot be excluded or limited by law, such as liability for gross negligence, willful misconduct, or personal injury.

12. Indemnification

You agree to indemnify, defend, and hold harmless MdFetch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of third parties, including intellectual property rights
• Your content or use of fetched content
• Your violation of any laws or regulations

13. Termination

13.1 Termination by You

You may terminate your account at any time through your dashboard settings. Upon termination:

• You will lose access to the service
• Unused prepaid credits may be refunded upon request within 30 days
• Your data will be retained for 30 days, then permanently deleted

13.2 Termination by Us

We may suspend or terminate your account immediately without notice if:

• You violate these Terms
• You engage in fraudulent or abusive behavior
• We are required to do so by law
• We discontinue the service (with 30 days’ notice)

13.3 Effect of Termination

Upon termination, all licenses granted to you will immediately cease. Provisions regarding intellectual property, liability, indemnification, and dispute resolution will survive termination.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at hello@mdfetch.ai to seek an informal resolution. We will attempt to resolve the dispute within 30 days.

14.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in the United States. You consent to personal jurisdiction in these courts.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the “Effective Date” at the top of these Terms
• We will notify you via email at least 30 days before the changes take effect
• We will display a prominent notice on our website

Your continued use of the service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the service and may request account termination.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MdFetch regarding the service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
